OVERVIEW

Welcome to Pace! The terms “we”, “us” and “our” refer to Pace. Pace operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Pace is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the “Terms”), together with our Privacy Policy and any other referenced policies, describe your rights and responsibilities when using the Services.

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy [LINK]. If you do not agree, you must not use or access our Services.

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms, you represent that you are at least 18 years old (the legal age of majority in Portugal and most EU countries).

To use the Services, including browsing or purchasing products, you may be asked to provide certain information such as your email, billing, payment, and shipping details. You represent and warrant that all the information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.

SECTION 2 – OUR PRODUCTS

We make every effort to accurately represent our products. However, colors or product appearance may vary depending on your device and settings.

All descriptions of products are subject to change at any time without notice. We reserve the right to discontinue any product or limit quantities.

Statutory Rights: Nothing in these Terms affects your rights under Portuguese and EU law, including the right to a 2-year legal warranty for defective products.

SECTION 3 – ORDERS AND RIGHT OF WITHDRAWAL

When you place an order, you are making an offer to purchase. We reserve the right to accept or decline your order at our discretion. An order is not accepted until payment is received and confirmed.

Right of Withdrawal:
If you are a consumer in the EU, you have the right to withdraw from your purchase within 14 days of receiving the products, without giving any reason, in accordance with Portuguese Decree-Law 24/2014. To exercise this right, please follow the instructions in our Refund Policy [LINK].

Exceptions: This right does not apply to perishable goods, customized products, or goods that cannot be returned for hygiene reasons once unsealed.

SECTION 4 – PRICES AND BILLING

All prices displayed include VAT (Imposto sobre o Valor Acrescentado) at the applicable Portuguese rate, unless otherwise indicated. Additional shipping costs, if applicable, are shown before checkout.

You agree to provide current, complete, and accurate purchase and payment information. You authorize us to charge your payment method for all amounts due.

SECTION 5 – SHIPPING AND DELIVERY

Delivery times are estimates only. We are not liable for delays caused by carriers, customs, or events outside our control. Risk of loss and title to products pass to you when delivered to the carrier.

SECTION 6 – INTELLECTUAL PROPERTY

All content on our Services (trademarks, text, graphics, images, video, design, etc.) is owned by Pace, Shopify, or licensors, and protected under EU and Portuguese intellectual property law.

You may use the Services for personal, non-commercial use only. Unauthorized use may result in legal action.

SECTION 7 – OPTIONAL TOOLS

We may provide access to third-party tools or features. These are provided “as is” without warranties. Your use of such tools is at your own risk, subject to third-party terms.

SECTION 8 – THIRD-PARTY LINKS

Our Services may contain links to third-party websites. We are not responsible for their content, products, or practices. You access them at your own risk. Please review their terms and policies before using them.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Pace is powered by Shopify. However, all purchases are made directly with Pace. Shopify is not responsible for any sales, products, or claims. By using the Services, you expressly release Shopify from liability related to your transactions with Pace.

SECTION 10 – PRIVACY POLICY AND GDPR

All personal information is processed in compliance with the General Data Protection Regulation (EU 2016/679) and Portuguese Law 58/2019.

You have rights of access, rectification, erasure, restriction, objection, portability, and the right to lodge a complaint with the CNPD (Comissão Nacional de Proteção de Dados).

SECTION 11 – FEEDBACK

By submitting feedback, reviews, or suggestions, you grant us a worldwide, royalty-free license to use and share it. You are solely responsible for the content you provide and must ensure it does not infringe third-party rights.

SECTION 12 – ERRORS AND OMISSIONS

We reserve the right to correct errors, inaccuracies, or omissions and to update or cancel orders if necessary, even after submission.

SECTION 13 – PROHIBITED USES

You may use our Services only for lawful purposes. Prohibited uses include:

Statutory warranty: Consumers in Portugal and the EU are entitled to a 2-year warranty for defective goods. Nothing in these Terms excludes this right.

SECTION 16 – LIMITATION OF LIABILITY

We do not exclude or limit liability where it would be unlawful under Portuguese or EU law, including liability for:

  • Death or personal injury caused by negligence.

  • Fraud or fraudulent misrepresentation.

  • Defective products under EU consumer protection law.

We are not liable for indirect or consequential damages, except where required by law.

SECTION 17 – INDEMNIFICATION

You agree to indemnify and hold harmless Pace, Shopify, and affiliates from claims arising from your breach of these Terms or unlawful use of the Services.

SECTION 18 – SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

SECTION 19 – ENTIRE AGREEMENT

These Terms, together with our policies, constitute the entire agreement between you and Pace regarding use of the Services.

SECTION 20 – ASSIGNMENT

You may not assign these Terms without our written consent. We may assign our rights and obligations without notice.

SECTION 21 – GOVERNING LAW AND JURISDICTION

These Terms are governed by Portuguese law.

  • Consumers in the EU may bring proceedings in the courts of their country of residence.

  • Otherwise, the courts of Lisbon, Portugal, shall have jurisdiction.

SECTION 22 – ADR/ODR PLATFORM

Consumers may submit disputes through the European Commission’s Online Dispute Resolution platform: http://ec.europa.eu/odr.

In Portugal, you may also contact your local Centro de Arbitragem de Conflitos de Consumo (Consumer Arbitration Centre).

SECTION 23 – CHANGES TO TERMS

We may update these Terms. Material changes will be notified in accordance with the law. Continued use of the Services after changes constitutes acceptance.
